How this page helps
What a mergers and acquisitions lawyer in Moldova actually does
If you are buying, selling or restructuring a business in Moldova, the legal work rarely stays in one box: corporate approvals, due diligence on title and permits, contractual warranties, employment arrangements and, where things go wrong, court proceedings. A mergers and acquisitions lawyer in Moldova works across those layers at once, and the earlier that person is involved, the fewer surprises appear at signing. On this page you describe your transaction in plain terms, tell us the sector and the stage you have reached, and we match you with an advocate entered in the register of the Union of Lawyers of the Republic of Moldova whose practice covers corporate and transactional work. The matching costs nothing and you decide afterwards whether to instruct.
Local context
How the legal side of a Moldovan deal is structured
Moldova is a unitary state with a continental-style legal order founded on the Constitution of 29 July 1994 and codified private and procedural law. The points below describe the framework a transaction lawyer works inside, from who may represent you to how a dispute would move through the courts.
Who may advise you on a transaction
Legal assistance is reserved to advocates entered in the register of the Union of Lawyers of the Republic of Moldova, holding a licence under the Law on advocacy No. 1260/2002 and bound by the Statute of the profession. They work individually, through a law office, a jointly owned bureau or a partnership, normally under a written legal-assistance contract with the client.
If the deal ends in court
Commercial disputes follow the Code of Civil Procedure No. 225/2003. A first-instance judgment can be challenged by appeal (apel) and the appeal decision by recourse (recurs) before the Supreme Court of Justice. There is no third ordinary instance, so a file arising from a transaction should be built for both levels from the start.
The language of the file and the courtroom
Romanian is the state language and procedural acts are drafted in it. A party who does not speak Romanian may acquaint themselves with the file and speak through an interpreter free of charge, a guarantee linked to Article 13 of the Constitution. Legislation is published in Monitorul Oficial and consolidated on Legis.md, where the governing texts should be checked.
Court fees and the cost of a dispute
Judicial fees are set by Law No. 213/2023 on the state tax, in force since 1 January 2024, and a separate stamp tax (taxa de timbru) of 200 lei is charged. A recourse application costs 70% of the state tax paid at first instance. Fees are paid through the government MPay service and the receipt is filed with the court.
Filing and case management
Claims, appeals and recourse applications may be submitted through the Integrated Case Management Programme (e-Dosar / PIGD), which coexists with paper filing and requires an authenticated electronic identity. Payments are made through MPay. Where a transaction may generate litigation, it is worth confirming early who holds the company’s electronic credentials.
Reform, timing and the appellate map
Since 2022–2023 Moldova has been carrying out an extraordinary evaluation (vetting) of judges and prosecutors as part of its EU accession process, which has temporarily reduced the number of sitting judges and lengthened some proceedings. The Ministry of Justice portal currently lists three courts of appeal: Centru, Nord and Sud.
Every country-specific statement on this page is taken from official Moldovan sources — the state register Legis.md, the Union of Lawyers and the Ministry of Justice court portal — consulted in the form available at the time of writing.

Common difficulties
Where a Moldovan transaction tends to become complicated
These are the practical pressure points clients raise most often before they speak to an advocate.
Documents drafted in Romanian
Procedural acts and filings are in the state language. Interpretation is provided free of charge to those who need it, but translating a data room and aligning it with the Romanian originals takes time that should be built into the timetable.
Court timetables that move
The extraordinary evaluation of judges and prosecutors has temporarily reduced the number of sitting judges, which can extend proceedings. A deal with deferred or conditional payments should carry a realistic view of how long enforcement would take.
Costs that were not budgeted
State tax under Law No. 213/2023, the 200 lei stamp tax and freely agreed advocate fees all sit outside the purchase price. If a dispute follows completion, a recourse application alone costs 70% of the first-instance state tax.
What you get
How the matching works for a transaction in Moldova
A short, structured route from your first description to an advocate who handles this kind of work.
Shortlisting by sector and deal type
Share purchases, asset transfers and restructuring each call for a different mix of corporate, tax and contractual knowledge. We match on the type of transaction you describe rather than on generic availability.
One named contact
You deal with a single advocate acting under a legal-assistance contract, rather than a chain of intermediaries. That person is entered in the register held by the Union of Lawyers of the Republic of Moldova and bound by the Statute of the profession.
Fees agreed in writing
Advocate fees in Moldova are not fixed by the State: they are agreed in the legal-assistance contract under Law on advocacy No. 1260/2002. You can therefore discuss scope and basis of charging before anything is signed.
Dispute-ready from the start
Because ordinary remedies run through appeal and then recourse, a well-prepared file is built for both levels. We look for advocates comfortable with the transactional side and the litigation that can follow it.
Cross-border work
Transactions that reach beyond Moldova
Deals involving Moldova frequently involve investors, sellers or assets in another jurisdiction, so it helps to have counsel on both sides who understand the other system.
Questions
Frequently asked questions
Do I need a mergers and acquisitions lawyer in Moldova for a share purchase?
Legal assistance in Moldova is provided by advocates entered in the register of the Union of Lawyers, holding a licence under Law on advocacy No. 1260/2002 and acting under a legal-assistance contract. Whether a particular transaction requires that support depends on its size and structure; you can describe it to us and we will match you with an advocate who handles comparable deals.
Which courts would hear a dispute arising from an acquisition in Moldova?
A first-instance dispute is heard by a district-level court (judecătorie) with judges specialised by area. Its judgment can be appealed before a court of appeal, and that decision challenged by recourse before the Supreme Court of Justice. There is no third ordinary instance, so the case is usually prepared with both levels in mind.
How long do I have to challenge a first-instance judgment?
Under the Code of Civil Procedure No. 225/2003, an appeal (apel) against a first-instance judgment must be lodged within 30 days, and a recourse application (recurs) before the Supreme Court of Justice within two months. The court then has 45 working days to produce the reasoned judgment after an appeal is lodged.
Are advocate fees regulated by the State in Moldova?
No. Fees are freely agreed between the advocate and the client in the legal-assistance contract, reflecting the independence of the profession under Law on advocacy No. 1260/2002. If a case goes to court, the successful party may recover legal costs that the court considers necessary and reasonable, and manifestly excessive claims can be reduced.
Can documents in a Moldovan case be filed electronically?
Yes. Claims, appeals, recourse applications and other procedural documents may be submitted through the Integrated Case Management Programme (e-Dosar / PIGD), and court fees are paid online through MPay. Electronic filing coexists with paper filing and requires an authenticated electronic identity, so access credentials should be organised in advance.
What does the free matching involve?
You describe the transaction, the sector, the stage reached and any dispute that has already arisen. We then identify an advocate whose registered practice covers that work and put you in contact. There is no charge for the introduction and no obligation to instruct; the fee arrangement is agreed directly with the advocate.
