Why this page
Corporate transactions under Azerbaijani law
A deal in Azerbaijan rarely fails on price alone; it fails on detail. Share transfers, asset purchases, mergers and reorganisations each touch a legal framework resting on the Constitution of 12 November 1995 and on codified legislation headed by the Civil Code, with commercial disputes heard by dedicated commercial courts and, at cassation level, by the Commercial Chamber of the Supreme Court. Because representation in civil and commercial proceedings is reserved to advocates who are members of the Azerbaijani Bar Association, who sits across the table matters as much as the paperwork. We are a matching platform: you describe the transaction, and we introduce you to a mergers and acquisitions lawyer in Azerbaijan whose practice covers it. The first introduction costs you nothing, and you decide whether to instruct.
Azerbaijan in practice
How M&A work is actually handled in Azerbaijan
Azerbaijan is a civil-law jurisdiction in which deals are structured against the Civil Code and litigated, when necessary, before specialised commercial courts. The practical questions clients ask most often concern who may act, which court decides, how long claims survive and what registration or notarial steps a transaction triggers.
A civil-law framework, codified and central
The legal order rests on the Constitution adopted on 12 November 1995 and on codified legislation, principally the Civil Code along with the Civil Procedure Code, Criminal Code, Criminal Procedure Code, Labour Code and Family Code. Under Article 125 of the Constitution, judicial power is exercised only by the courts, which shapes how warranties, indemnities and dispute clauses are drafted in a share or asset purchase agreement.
Who may represent you in court
Membership of the Azerbaijani Bar Association is compulsory in order to practise as an advocate, and following amendments of 31 October 2017 representation in civil and administrative proceedings is reserved to advocates who are members. Admission requires a higher legal education, at least three years of legal work experience, a qualification examination and compulsory training at the Justice Academy of the Ministry of Justice. The Association currently has about 3,003 members.
Where a commercial dispute ends up
First-instance work is handled by district (city) courts, grave crimes courts, military courts, administrative courts and commercial courts, with five courts of appeal in Baku, Ganja, Sumgayit, Shirvan and Sheki. The Supreme Court of Azerbaijan is the cassation instance and is organised into the Plenum and the Civil, Criminal, Administrative and Commercial chambers. Proceedings are conducted in Azerbaijani, the official language under Article 21 of the Constitution.
Limitation periods that shape warranties
Azerbaijan combines a strikingly long general limitation period of 10 years under Article 373.1 of the Civil Code with shorter periods for contractual claims: 3 years generally and 6 years for contracts concerning immovable property. That asymmetry matters when you structure claims, negotiate survival periods for representations and decide how long to keep transaction evidence.
Registration and notarial duties on asset deals
Ownership and other property rights to real estate, including rights acquired by inheritance, are subject to compulsory state registration, and the State Register of real estate rights is the authoritative record of title. State duty for an extract on registered ownership is AZN 50 and AZN 75 for technical documents. Notarial acts are also subject to state duty under the Law ‘On State Duty’.
What legal work costs and who may be funded
There is no statutory tariff for lawyers’ fees in Azerbaijan; fees are freely agreed between lawyer and client, so fee structures vary considerably between firms. Court proceedings carry a state duty calculated on a sliding scale for property claims, with an official online calculator provided at e-mehkeme.gov.az. Free state-funded legal aid is available through the Legal Aid Centre of the Azerbaijani Bar Association for those entitled to it.
Key time limit — Commercial & Corporate Law
Contractual claims — 3 years. Applies to ordinary commercial contracts, including share purchase agreements.
The country data on this page is drawn from official Azerbaijani sources — the Supreme Court, the Azerbaijani Bar Association, the State Service for Registration of Real Estate, the Chamber of Notaries and national legislation published in the official legal database — consulted in 2025.

Common problems
What usually goes wrong without local deal counsel
Cross-border buyers and founders often meet the same three obstacles when they run a transaction in Azerbaijan without an admitted advocate at their side.
Papers signed by someone who cannot appear
Representation before the courts in civil and commercial proceedings is reserved to advocates who are members of the Azerbaijani Bar Association. Advisers without that membership can negotiate, but cannot stand behind the file if the deal is later disputed.
Time limits assumed from another jurisdiction
General claims last 10 years here, while contractual claims run for 3 years, or 6 for contracts concerning immovable property. Warranty, indemnity and survival clauses that ignore this asymmetry can leave a buyer with rights that expire earlier than expected.
Property rights treated as complete before registration
Rights to real estate are subject to compulsory state registration, and the State Register is the authoritative record of title. An asset deal that closes without the registration steps being sequenced properly can leave ownership in question long after completion.
How we help
A matched introduction, built around your transaction
We do not advise on the law. We identify which Azerbaijani practice fits your deal and put you in direct contact with it.
Screened for deal experience
We match on the transaction type you describe — share purchase, asset purchase, merger, reorganisation or joint venture — and on the sectors involved, rather than sending you to the first available firm.
Admitted advocates and corporate advisers
Where the matter may end up before a court, we look for advocates who are members of the Azerbaijani Bar Association, because representation in civil and commercial proceedings is reserved to them.
Baku coverage and the regions
Most corporate practices are concentrated in Baku, where 103 law offices are registered, with 41 more across the regions, so we can look beyond the capital when your target assets sit in Ganja, Sumgayit, Shirvan, Sheki or elsewhere.
Clear on cost before you commit
There is no statutory tariff for lawyers’ fees in Azerbaijan, so we ask lawyers to set out their fee basis and scope in advance. You compare the approaches and decide whether to instruct anyone at all.

Transactions in other jurisdictions
If your deal spans more than one market, we can match you with counsel in the other countries involved as well.
Questions
Mergers and acquisitions in Azerbaijan: what clients ask
Do I need a mergers and acquisitions lawyer in Azerbaijan for a small share transfer?
Size is not the test; the structure is. Even a modest share transfer can involve corporate approvals, amendments to registration data and, where real estate sits in the target, compulsory state registration of property rights. A deal lawyer checks which of these steps your transaction triggers before completion rather than afterwards.
Can a lawyer from another country represent me before the Azerbaijani courts?
Representation of parties in civil and administrative proceedings is reserved to advocates who are members of the Azerbaijani Bar Association, under the Law ‘On Lawyers and Lawyers’ Activity’ and the procedural codes. Foreign counsel can advise and coordinate, particularly on the law of their own jurisdiction, but court advocacy in Azerbaijan requires admitted local counsel.
How long do contractual claims last in Azerbaijan?
Contractual claims are generally limited to 3 years, while contracts concerning immovable property carry a 6-year period. By contrast, the general limitation period under Article 373.1 of the Civil Code is 10 years. This asymmetry directly affects how long representations, warranties and indemnities should survive after completion.
Which courts hear commercial disputes in Azerbaijan?
Commercial disputes are heard at first instance by the commercial courts, with appeals going to one of the five courts of appeal — Baku, Ganja, Sumgayit, Shirvan and Sheki. The Supreme Court of Azerbaijan acts as the cassation instance and includes a dedicated Commercial chamber within its structure.
What do lawyers charge for M&A work in Azerbaijan?
There is no statutory tariff for lawyers’ fees; fees are freely agreed between the lawyer and the client, so arrangements range from hourly rates to fixed or staged fees. Court proceedings, separately, attract a state duty calculated on a sliding scale, with an official calculator provided at e-mehkeme.gov.az.
Does an asset deal involving real estate require state registration in Azerbaijan?
Yes. Ownership and other property rights to real estate are subject to compulsory state registration, and the State Register of real estate rights is the authoritative record of title. State duty is AZN 50 for an extract on registered ownership and AZN 75 for technical documents, and notarial acts carry their own state duty.
