Why local counsel matters

A wind-down is a legal process, not only an accounting one

Once a company stops trading or a shareholders’ decision sets the wind-down in motion, the paperwork turns into legal work: resolutions, creditor correspondence, filings and, where positions are contested, court procedure. Liquidation lawyers in Latvia operate inside a civil law system whose core private law is the Civil Law of 1937, restored in force in 1992 and supplemented by the Commercial Law and special statutes, with procedure codified separately in the Civil Procedure Law. That structure rewards local knowledge rather than generic templates. On this page you can set out what you are dealing with, free of charge and in confidence, and we will match you with a Latvian advocate or legal team whose practice covers company wind-downs and the disputes that grow around them. You decide who to instruct.

Latvia in practice

How the Latvian framework shapes a company wind-down

Latvia is a civil law jurisdiction in which both the substantive rules and the procedure before the courts are codified. For anyone closing down a company from abroad, the practical points below are the ones that decide how the matter is run and what it costs.

Private law and procedure are codified separately

The core private law is the Civil Law (Civillikums) of 1937, whose force was restored in 1992, supplemented by the Commercial Law and special statutes. Procedure sits in its own codes — the Civil Procedure Law, the Criminal Procedure Law and the Administrative Procedure Law. Steps, documents and the court’s role are therefore found in statute rather than assembled case by case.

Only admitted advocates may practise as sworn advocates

Practice as a sworn advocate requires admission to the Latvian Council of Sworn Advocates (Latvijas Zvērinātu advokātu kolēģija), a mandatory self-governing professional body. An advocate must meet statutory qualification requirements, take the advocate’s oath and comply with the Code of Ethics. Verifying admission to the Council is a basic, checkable step before you instruct anyone.

Advocate representation is compulsory only in defined cases

In civil procedure a natural person may conduct a case personally or through an authorised representative. Representation through an advocate becomes mandatory in cases within the jurisdiction of the Economic Court and in cases arising from obligation rights where the amount claimed exceeds EUR 150 000. Where a wind-down dispute crosses either threshold, local counsel is not optional.

The Economic Court sits in Riga with nationwide reach

Alongside the district (city) courts, a specialised Economic Court seated in Riga hears the categories of cases assigned to it by the Civil Procedure Law and the Criminal Procedure Law at first instance, with the whole territory of Latvia as its area of operation. Cases before it must be conducted by the parties themselves or through an advocate.

Proceedings are conducted in Latvian

Court proceedings take place in the official language, Latvian, and documents in a foreign language must be filed together with a Latvian translation. Interpreters may be used where the law provides for them. For a foreign shareholder or parent company, budgeting early for translation and Latvian-speaking counsel avoids adjournments later in the file.

Fees are agreed, and recovery is capped

There is no State tariff for advocacy services: fees are agreed between advocate and client. In litigation, advocate costs are recovered from the losing side only within statutory ceilings — for example, not more than 30 per cent of the satisfied part of a financial claim up to EUR 8 500, and at most EUR 2 850 where the claim is between EUR 8 501 and EUR 57 000, so part of your own costs stays with you.

All country details on this page are taken from official Latvian legal sources and the Latvian Council of Sworn Advocates, consulted in February 2025.

Typical sticking points

Where a cross-border wind-down usually becomes complicated

These are the situations clients most often bring to us. Naming the problem precisely is what allows a sensible match.

01

Decisions taken without a paper trail

Shareholder resolutions, notices to creditors and asset transfers are recorded unevenly across jurisdictions. Latvian counsel will want the file reconstructed in order before anything is filed or defended.

02

Directors and shareholders abroad

When the people who must sign live in another country, mandates, translations and identification formalities add time. Proceedings themselves are conducted in Latvian, so the language layer is planned from the start.

03

Creditors who do not accept the position

A creditor may contest what it is offered or how the process has been run. Once a matter is before the courts, appeal and cassation periods are short and leave little room for late instructions.

How we help

A short, neutral route to the right Latvian counsel

We are a matching platform, not a law firm. Our role is to put your situation in front of counsel who handle it, without cost to you.

One description, several suitable profiles

You explain the wind-down once. We identify Latvian advocates or legal teams whose practice covers company closures, creditor disputes and commercial litigation, and you receive comparable profiles to review.

Admission is checked, not assumed

Every professional we put forward practises within the Latvian framework, where sworn advocates are admitted to the Council of Sworn Advocates. You can verify admission independently before any engagement letter is signed.

Fees clarified before you commit

Latvia sets no State tariff for advocacy services, so fees are a matter of agreement. Expect the basis of charging, the scope of work and foreseeable disbursements such as translation to be discussed openly at the outset.

Free, and without pressure

Matching costs you nothing and creates no obligation. If you decide to instruct one of the professionals you are introduced to, the relationship is between you and them from the first conversation onwards.

Questions we hear

Practical answers before you instruct anyone

Do I always need liquidation lawyers in Latvia to close a company?

Not in every situation. In Latvian civil procedure a natural person may act personally or through an authorised representative, and representation through an advocate is mandatory only in defined cases — matters within the jurisdiction of the Economic Court, and cases arising from obligation rights where the amount claimed exceeds EUR 150 000. Where a dispute or a contested creditor position is likely, instructing counsel early is the practical choice.

Can documents be filed in English with a Latvian court?

No. Court proceedings are conducted in the official language, Latvian, and a document in a foreign language must be filed together with a translation into Latvian. Interpreters may be used where the law provides for it. Budget for certified translation from the start, because incomplete translations delay the file.

Which court will deal with a contested wind-down dispute?

Civil matters start at first instance before the district (city) courts, or before the specialised Economic Court in Riga for the categories of cases assigned to it, which operates across the whole territory of Latvia. Appeals go to the regional court as the appellate instance, and the Supreme Court (Senate) is the cassation instance, reviewing legality rather than the facts.

How long do I have to challenge a judgment?

In civil proceedings an appeal (apelācija) against a first-instance judgment must be lodged within 20 days, and a cassation complaint to the Supreme Court (Senate) within 30 days. If a notice of appeal has deficiencies, the judge sets a time limit to remedy them, commonly 10 days. In criminal proceedings the appeal period is 10 working days, extendable by the court to 20 working days.

Can a company obtain State ensured legal aid in Latvia?

No. State ensured legal aid is available to natural persons only, under the State Ensured Legal Aid Law, and is administered by the Legal Aid Administration. It covers legal consultation and representation for persons holding low-income or needy status, for those in a sudden situation preventing them from protecting their rights, or for persons fully maintained by the State or a local government.

How are advocate fees set and can they be recovered?

Latvia has no State tariff for advocacy services; fees are agreed between advocate and client. If you win, the losing party reimburses advocate costs only within statutory ceilings — for instance, no more than 30 per cent of the satisfied part of a financial claim up to EUR 8 500, and at most EUR 2 850 where the claim is between EUR 8 501 and EUR 57 000. Assume that part of your costs will not be recoverable.
