Mergers and acquisitions in Liechtenstein

What a Liechtenstein M&A mandate actually involves

A merger or an acquisition in Liechtenstein rarely fails because of the deal itself; it fails on structure, on documents that do not match the local register, or on a deadline nobody diarised. Whether you are buying a holding company in Vaduz, merging two operating businesses in Schaan or Balzers, or selling shares to an EEA buyer, you need counsel who works with Liechtenstein law daily. On this page you can describe your transaction in a few lines and we will match you, free of charge, with a mergers and acquisitions lawyer in Liechtenstein whose practice covers your sector and deal size. There is no obligation, no fee for the introduction, and you decide whether to instruct the lawyer afterwards.

Liechtenstein in practice

How M&A work is handled in Liechtenstein

Liechtenstein is a small civil-law jurisdiction with German as its only court language, three instances of ordinary jurisdiction and full EEA membership. These four characteristics shape almost every cross-border transaction prepared here.

A civil-law jurisdiction inside the EEA

Liechtenstein is a civil-law jurisdiction: its private law is largely a reception of the Austrian Allgemeines Bürgerliches Gesetzbuch, in force as LGBl. 1811 with numerous Liechtenstein amendments. As an EEA member the Principality is bound by EEA and EU internal-market law, and the EFTA Court in Luxembourg has jurisdiction in EEA-law matters. Court proceedings and legal advice are conducted in German.

Courts that can hear a post-closing dispute

Deal disputes run through three instances: the Fürstliches Landgericht in Vaduz as first instance, with an enforcement division; the Obergericht as second instance, sitting in three senates; and the Oberster Gerichtshof as third instance, which also acts as the Administrative Court. The Staatsgerichtshof is a separate constitutional court. Decisions of the Supreme Court are published online.

Who may act as your Liechtenstein lawyer

Only persons entered in the Liechtenstein lawyers’ list (Rechtsanwaltsliste), kept by the Liechtensteinische Rechtsanwaltskammer, may practise as Liechtenstein lawyers. The Lawyers Act requires EEA or equivalent nationality, a bar or aptitude examination or three years’ regular practice, a domestic office and professional indemnity insurance. Lawyers qualified in other EEA states may provide services under Art. 78 RAG.

Representation is not compulsory in civil proceedings

The Zivilprozessordnung contains no general obligation to be represented by a lawyer. Parties may act in person or through an agent (Bevollmächtigter); §§ 28–31 ZPO govern powers of attorney, and § 33(1) ZPO expressly allows a power of attorney to be granted to persons who are not lawyers. Representation rules for particular high-value or higher-instance matters should be checked case by case.

What the deal costs: fees and legal aid

Court fees follow the Gerichtsgebührengesetz. The assessment base is normally the value in dispute, amounts are rounded up to the next franc and foreign-currency amounts are converted into Swiss francs at the SIX AG daily rate. Unpaid fees trigger a payment order payable within two weeks plus a CHF 25 surcharge. Lawyers charge under the statutory Rechtsanwaltstarif, and Verfahrenshilfe is available under § 63 ZPO.

Time limits that shape warranty and indemnity clauses

The 2026 limitation reform (LGBl. 2026 Nr. 23) shortened the general civil limitation period to ten years, while final judgments, enforceable settlements and enforceable instruments remain at thirty years. Damages claims expire three years after you know the damage and the wrongdoer, and typical commercial and professional claims after five years. Warranty and indemnity wording has to sit alongside these periods.

Key time limits — Commercial & Corporate Law

Matter Period Note
Damages claims (contract or tort) where damage and wrongdoer are known 3 years from knowledge Time starts once you know both the damage and who caused it.
Typical commercial and professional claims (short limitation) 5 years A shorter period governs everyday commercial and professional claims.
Payment order procedure (Zahlbefehl / Mandatsverfahren) — objection and reinstatement 14 days An objection in the payment order procedure must fall within this window.

Typical friction points

Where Liechtenstein transactions usually go wrong

These are the recurring issues clients describe when they arrive with a deal already in motion.

01

Documents built on a foreign template

Share transfers, register steps and form requirements follow Liechtenstein practice, not the precedent you used in another jurisdiction. A deal signed on imported wording can stall after closing, when the parties have least appetite for renegotiation.

02

Deadlines nobody diarised

Damages claims can expire three years after you know the damage and the wrongdoer, commercial claims after five, and an appeal against a first-instance judgment after four weeks. Liechtenstein’s procedural periods are short and cannot be extended once they start running.

03

Cross-border questions arriving late

Liechtenstein sits in the EEA and is bound by internal-market law, so a transaction involving an EEA buyer or seller can raise questions about EEA rules and EFTA Court practice alongside local civil law. Those questions surface best before signing, not after.

Frequently asked questions

Questions clients ask about M&A counsel in Liechtenstein

Do I need a mergers and acquisitions lawyer in Liechtenstein to sign a share purchase agreement?

No general obligation to be represented by a lawyer exists in the Liechtenstein Zivilprozessordnung, and § 33(1) ZPO allows a power of attorney to be given to persons who are not lawyers. In practice, however, a mergers and acquisitions lawyer in Liechtenstein prepares the documents, checks register and form requirements, and manages deadlines that run in German.

Which courts would hear a dispute arising from a Liechtenstein acquisition?

Ordinary jurisdiction runs through three instances: the Fürstliches Landgericht in Vaduz at first instance, the Obergericht on appeal and the Oberster Gerichtshof at third instance. The Oberster Gerichtshof also acts as the Administrative Court, while the Staatsgerichtshof is a separate constitutional court. Proceedings are conducted in German.

Can a lawyer qualified in another EEA state advise on my deal in Liechtenstein?

Lawyers qualified in other EEA states may provide services in Liechtenstein under the free movement of services provisions of the Lawyers Act. Acting as a Liechtenstein lawyer, however, remains reserved to persons entered in the Rechtsanwaltsliste kept by the Liechtensteinische Rechtsanwaltskammer.

How long can claims under a share purchase agreement survive in Liechtenstein?

The 2026 limitation reform set the general civil limitation period at ten years, while final judgments, enforceable settlements and enforceable instruments remain at thirty years. Damages claims expire three years after you know the damage and the wrongdoer, and typical commercial and professional claims after five years. Your lawyer applies these periods to your clauses.

What does it cost to work with M&A counsel in Liechtenstein?

Lawyers charge according to the statutory Rechtsanwaltstarif, which is calculated on the value of the item in dispute. Court fees under the Gerichtsgebührengesetz are also value-based, rounded up to the next franc and payable in Swiss francs. Verfahrenshilfe may be available under § 63 ZPO, and our matching service itself is free.

Is EEA law relevant to a cross-border transaction in Liechtenstein?

Yes. Liechtenstein is a member of the European Economic Area and is bound by EEA internal-market law, with the EFTA Court in Luxembourg having jurisdiction in EEA-law matters. The Oberster Gerichtshof has confirmed that national rules binding courts to higher-instance rulings cannot prevent a court from requesting an EFTA Court advisory opinion.
