Ukraine-specific legal landscape

How business law works in Ukraine

Ukraine follows the civil law tradition, with codified statutes as the primary source of law. The Constitution, the Civil Code, the Commercial Code and specialised procedural codes set the framework for business activity, dispute resolution and legal representation. Below are key points every business client should know.

Civil-law court system

Ukraine’s courts operate under a continental civil-law model, with codified legislation rather than judicial precedent. Commercial disputes are heard by specialised economic courts, with appeals going to appellate courts and finally to the Supreme Court, which ensures uniform interpretation of the law. The Constitutional Court reviews the conformity of laws to the Constitution.

Licensed advocates only

Only advocates admitted to the Bar of Ukraine may represent clients before the Supreme Court and in many higher instances. To practise, a lawyer must hold a full legal education, have at least two years’ experience, pass a qualification exam and complete a six-month traineeship. All advocates are listed in the Single Register of Advocates of Ukraine maintained by the Bar Council.

Limitation deadlines

The general limitation period for civil claims is three years. Shorter periods apply to specific claims: one year for penalty claims and defamation, three months for unpaid wages, and one month for challenging unlawful dismissal. Administrative claims against state bodies must be filed within six months. These periods were suspended during martial law and restored from 4 September 2025.

Court fees and legal costs

A court fee is payable when filing claims and appeals; for property claims by legal entities the fee is 1.5% of the claim value, subject to statutory minimums and maximums. There are no fixed tariffs for lawyers’ fees — remuneration is freely agreed between client and attorney. Prevailing parties may recover certain costs from the losing side.

Notarial certification for real estate

Contracts for the sale, exchange or gift of real estate must be executed in writing, certified by a notary and registered in the State Register of Real Property Rights. Notaries verify parties’ identity and capacity and the legality of the transaction; without notarisation the agreement is unenforceable. A business lawyer can coordinate this process.

Digital justice and martial law

Ukraine has implemented electronic court systems (UJITS) allowing online filing, videoconference hearings and access to anonymised decisions. Martial law, in force since February 2022, does not suspend justice, but it affects deadlines and territorial jurisdiction. The Supreme Court also ruled that the aggressor state has no judicial immunity for war-damage claims.

Common challenges

Running a business in Ukraine is not without hurdles

These are the issues our matched lawyers help you overcome.

01

Navigating bureaucracy

Setting up a company or real estate deal in Ukraine involves notarisation, state registration and multiple authorities. Without local guidance you risk delays, fines or unenforceable contracts that stall your business.

02

Contract and payment disputes

Ukrainian partners may breach agreements or delay payments. Enforcing claims requires meeting strict limitation periods and court procedures; missing a deadline can mean losing your right to recover money.

03

Martial law uncertainty

Since 2022, martial law affects court deadlines, territorial jurisdiction and contract performance. A lawyer experienced in wartime regulations helps you adapt and protect your interests.

FAQ

Questions about business lawyers in Ukraine

What does a business lawyer in Ukraine do?

A business lawyer in Ukraine handles company formation, commercial contracts, tax planning, employment issues, intellectual property, real estate transactions and dispute resolution. They ensure compliance with Ukrainian codes and represent you before commercial courts, arbitration tribunals and state authorities.

Do I need a local advocate for court cases in Ukraine?

For first-instance and appellate business disputes, a company may act through any authorised representative, but representation before the Supreme Court is exclusively by advocates. In practice, engaging a licensed advocate is advisable to manage procedural rules and evidence.

What are the main limitation periods for business claims?

The general limitation period is three years for civil claims. Shorter periods apply to penalty claims (one year), unpaid wages (three months) and unlawful dismissal (one month). Administrative challenges must be filed within six months. These periods were suspended during martial law and resumed on 4 September 2025.

How much does a business lawyer cost in Ukraine?

Lawyers’ fees are freely negotiable; there are no statutory tariffs. You and your advocate agree on an hourly rate, fixed fee or success fee. Court fees are separate and calculated as a percentage of the claim value, with caps for legal entities. We help you compare quotes.

Can a foreigner start a business in Ukraine?

Yes, foreign citizens and companies can establish LLCs or representative offices, subject to notarised documents and state registration. A business lawyer in Ukraine can handle the registration, tax identification, bank account opening and any sectoral licensing requirements.

How does martial law affect business contracts?

Martial law may impact limitation periods, court jurisdiction and performance obligations under force majeure clauses. The Supreme Court ruled that the aggressor state has no immunity for war-damage claims. A lawyer can assess whether you have grounds for suspension or claims.
