M&A in Finland

What a mergers and acquisitions lawyer in Finland actually handles

Buying or selling a Finnish company touches several layers of national law at once. The Constitution of Finland (731/1999) is the supreme law, and the rules that shape a transaction sit mainly in the Civil Code, the company framework and the Code of Judicial Procedure, all consolidated free of charge in the Finlex database maintained by the Ministry of Justice. Finland follows the continental tradition in its Nordic variant, so Supreme Court precedents (ennakkopäätökset) carry strong persuasive authority rather than binding force, and much can turn on how a written provision is read. Practitioners therefore combine transactional drafting with a clear view of how a Finnish court, or the specialised Market Court, would treat the same question. We match you with a mergers and acquisitions lawyer in Finland who handles the type of transaction you are facing.

Finland in practice

How mergers and acquisitions work is handled in Finland

Finland is an EU member and part of Nordic legal cooperation, which keeps its company and contract law close to that of Sweden, Norway and Denmark. Two features shape every transaction: who is allowed to represent you professionally in court, and how Finnish tax rules treat the transfer of real estate, shares and payments going abroad.

Who may act for you in court

Since 1 January 2013 professional representation before Finnish courts is reserved to advocates who are members of the Finnish Bar Association, to licensed legal counsel (luvan saanut oikeudenkäyntiavustaja) under the Licensed Legal Counsel Act (715/2011), and to public legal aid attorneys. A party may always appear in person. Any adviser you choose for a dispute should therefore hold one of those licences and is supervised accordingly.

The advocate title and the Bar

The titles ‘asianajaja’ and ‘advokat’ are protected by the Advocates Act (496/1958) and may be used only by the roughly 2,400 members of the Finnish Bar Association. Admission requires a law degree, at least four years of professional legal experience, passing the Bar examination and good repute. Many capable lawyers practise without the title, but only Bar members may present themselves as advocates.

Which courts hear deal disputes

Civil and criminal cases start in one of the 20 district courts (käräjäoikeus), with appeal to one of the five courts of appeal (hovioikeus) and, on leave, to the Supreme Court in Helsinki. Competition, intellectual-property and public-procurement matters go instead to the specialised Market Court (markkinaoikeus). Knowing which track applies shapes the timetable you should plan for.

Tax points on a Finnish acquisition

Transfer tax is charged on acquisitions of Finnish real estate and securities: since 1 January 2024 the rate is 3% on real estate and buildings and 1.5% on shares in a housing company or real-estate company, with the buyer filing the return and paying on their own initiative. Dividends, interest and royalties paid to non-residents face Finnish withholding tax, frequently reduced by an applicable treaty.

What a dispute can cost

Court fees are set by the Court Fees Act (1455/2015); as of 2026 a civil matter in a district court carries a fee of EUR 610, with reduced amounts of EUR 70–310 in specified situations. Lawyers’ fees are freely agreed, with no binding statutory tariff, and the losing party is in principle ordered to reimburse the winning party’s reasonable legal costs, subject to recognised exceptions.

Legal aid is not open to companies

Legal aid (oikeusapu) under the Legal Aid Act (257/2002) is a constitutional right, means-tested and delivered through 23 public legal aid offices under the Ministry of Justice. It is available to natural persons only, not to companies or other communities, so a corporate buyer or target must budget for private representation. Minor telephone and electronic advice is given without means-testing.

Key time limit — Commercial & Corporate Law

General limitation of contractual debts — 3 years. Applies to ordinary contractual claims, such as an unpaid part of a purchase price.

All country details above come from official Finnish and EU sources — the Ministry of Justice’s Finlex database, the Finnish courts, the Finnish Tax Administration, the Finnish Bar Association and the European e-Justice Portal — consulted in 2026. Why deals stall

Where Finnish transactions usually go wrong

Three recurring pressure points we see when buyers, sellers and founders look for legal support in Finland.

01

The deal is cross-border, the law is national

You negotiate in English, but the target is a Finnish company, its share register sits in Finland and any dispute will be heard by a Finnish court applying Finnish law. Without local counsel, drafting and closing mechanics can drift from what a Finnish judge would expect.

02

Not every adviser can appear in court

Many experienced business advisers in Finland are not advocates. If the transaction turns into litigation, professional representation is reserved to Bar members, licensed legal counsel and public legal aid attorneys, so the team you assemble at the outset should include someone who can stay with the case.

03

Tax and timing questions arrive early

Transfer tax on real estate and securities, withholding tax on payments to non-residents and the applicable treaty position are usually settled before signing, not after. Discovering them at closing leaves far less room to renegotiate price, warranties and indemnities.

How we match you

Finding the right M&A counsel for Finland

We do not sell legal services. We listen to your transaction and introduce practitioners who fit it.

Licensed to act

We look for practitioners who hold a Finnish licence to represent clients — Bar membership, licensed legal counsel status under Act 715/2011, or a public legal aid attorney where an individual needs one.

Sector-aware matching

Tell us whether the target sits in technology, industry, energy, healthcare, real estate or a family-owned business, and we search for a mergers and acquisitions lawyer in Finland who already works in that field.

Finnish, Swedish and English

Finland’s court languages are Finnish and Swedish, while cross-border deals often run in English. We look for counsel who can draft and negotiate in the language your counterparty actually uses.

A free first step

Describing your transaction costs nothing and commits you to nothing. You decide whether to instruct the lawyer we introduce, and you agree fees and scope directly with them.

Questions

Mergers and acquisitions in Finland: common questions

Do I need a mergers and acquisitions lawyer in Finland if the deal is signed in English?

English is normal in cross-border documentation, but the target company, its share register and its assets sit in Finland, and Finnish law governs many points that surface only later. A mergers and acquisitions lawyer in Finland reads the same documents against the national rules and knows which wording will hold up locally.

How are legal fees for an M&A transaction set in Finland?

Lawyers’ fees are freely agreed between client and lawyer, and there is no binding statutory tariff. Firms commonly quote hourly rates, a fixed project fee or a combination, depending on transaction size. Court fees are separate and set by the Court Fees Act; as of 2026 a civil matter in a district court costs EUR 610.

Can any lawyer represent my company before a Finnish court?

No. Since 1 January 2013, professional representation in Finnish courts is reserved to advocates who are members of the Finnish Bar Association, to licensed legal counsel under the Licensed Legal Counsel Act (715/2011) and to public legal aid attorneys. An adviser outside those categories may be commercially excellent but cannot appear as professional counsel in proceedings.

Which Finnish court would hear a dispute after an acquisition?

Most post-closing disputes are civil claims, which begin in one of the 20 district courts (käräjäoikeus), with appeal to one of the five courts of appeal and, on leave, to the Supreme Court in Helsinki. Competition, intellectual-property and public-procurement questions go instead to the specialised Market Court.

What tax points should be checked before buying a Finnish company?

Transfer tax applies to acquisitions of Finnish real estate and securities: since 1 January 2024, 3% on real estate and buildings and 1.5% on shares in a housing company or real-estate company, with the buyer filing and paying on their own initiative. Dividends, interest and royalties paid to non-residents also face Finnish withholding tax, often reduced under a treaty.

Can a lawyer qualified elsewhere in the EU work on my Finnish deal?

Yes, within limits. An advocate qualified in another EU or EEA state may practise in Finland under the home-state professional title after registering in the Finnish Bar Association’s EU register, and may be admitted as an advocate after three years of regular practice in Finland. Court representation remains subject to Finnish licensing.
