Mergers & Acquisitions in Sweden

How M&A counsel works in Sweden

Buying or selling a Swedish company is rarely a single transaction. It is a sequence of steps — due diligence, heads of terms, the share purchase agreement, regulatory questions, completion mechanics and post-closing adjustments — and each step carries legal consequences under Swedish law. A mergers and acquisitions lawyer in Sweden works through those steps with you, from the first confidentiality agreement to the final earn-out payment. We help you find counsel who handles the size, sector and structure of your deal, whether you are a founder selling a family business, a private equity team acquiring a Swedish target, or a foreign buyer entering the Swedish market for the first time. Tell us about your transaction and we will match you with a lawyer who fits it.

Sweden in practice

What shapes an acquisition in Sweden

Swedish corporate transactions run on well-defined contractual and regulatory ground. The points below describe the framework that sits around most deals, from who may practise as an advokat to the prescription rules that decide how long a claim survives after completion.

Who may act as your adviser

Sweden protects the title ‘advokat’. Only a member of the Swedish Bar Association may use it, and presenting oneself as an advokat without membership is a criminal offence. Admission requires a law degree, at least three years of qualified legal practice and a passed bar exam. Instructing an advokat on an acquisition means dealing with a regulated professional bound by the association’s rules.

How M&A work is funded

State legal aid (rättshjälp) is means-tested and generally available to natural persons whose income and assets do not exceed SEK 260,000 per year, with legal advice under the Legal Aid Act charged at a fixed state-subsidised rate of SEK 2,032.50 per hour in 2026. Because commercial transactions fall outside that framework, corporate M&A work is normally agreed privately with your firm.

Prescription of claims after completion

Claims arising from a share purchase agreement — warranty breaches, indemnity calls, unpaid earn-outs — are governed by the Swedish Prescription Act. General claims prescribe after ten years, while consumer claims prescribe after three. For a business buyer or seller the limitation clock runs from the point at which the claim could first be made, so the wording of your agreement matters.

Appeals against decisions by Swedish authorities

Some transactions depend on, or are affected by, decisions taken by Swedish authorities. Under the Administrative Procedure Act (2017:900), an appeal against an administrative decision must generally be lodged within three weeks. That window is considerably shorter than the appeal periods in many other European systems, so any decision has to be reviewed quickly if you intend to challenge it.

Tax and succession in family-business deals

Sweden abolished inheritance tax (arvsskatt) and gift tax (gåvoskatt) at the end of 2004, so no tax is payable on an inheritance received in Sweden today; the repealed act still applies only to liabilities that arose before 2005. For owners passing a family company to the next generation, that removes one layer of cost from a share transfer.

Reserved portion and the family company

A direct heir — a child or grandchild — is always entitled to a reserved portion (laglott) equal to half of their statutory share of an estate, and this cannot be taken away by will. An heir must claim it within six months of being served with the will. Where shares in a company form part of the estate, this right has to be planned around.

Key time limit — Commercial & Corporate Law

Debt claims (limitation / preskription) — 3 years for consumer claims; 10 years general. Applies to warranty, indemnity and earn-out claims after completion.

Common problems

Why the right M&A lawyer matters

Three issues clients raise most often when they start looking for corporate counsel in Sweden.

01

Firms look identical on paper

Corporate practices describe the same services in the same words. What matters is whether the team has closed transactions of your size and structure in your sector, and whether they will tell you plainly when a deal should not proceed.

02

Costs are hard to predict

M&A work is usually billed against an estimate that shifts as the transaction changes. Without a lawyer who explains the scope, the assumptions and the triggers for a revised estimate, you can reach completion without knowing what the process has cost.

03

Cross-border deals add a second system

A foreign buyer, seller or parent company brings another jurisdiction into the room. You need counsel who can work alongside your home-country advisers and coordinate the Swedish company, contractual and regulatory questions without duplicating work.

Why use our service

How we match you with a Swedish M&A lawyer

A short, structured matching process instead of an unranked list of firms.

Specialist matching, not a directory

We ask about the transaction — share or asset deal, size, sector, timetable and any cross-border element — and match you with lawyers who regularly handle that profile in Sweden.

Free and without obligation

Using the matching service costs you nothing and does not commit you to instructing anyone. You decide whether to proceed after you have spoken to the lawyers we introduce.

A first response within 24–48 hours

Most enquiries receive a first response from a matched lawyer within one to two working days, so you can build your timetable around a realistic answer rather than a silent mailbox.

Swedish and international perspective

Our network covers firms in Stockholm, Gothenburg, Malmö and other Swedish cities, alongside lawyers used to working with foreign buyers and their home-country counsel.

Cross-border

Working with clients across Europe

Swedish acquisitions frequently involve parties from elsewhere in Europe. We match clients based in Sweden and abroad with counsel who can coordinate the Swedish part of a transaction with advisers in other jurisdictions.

Questions

Mergers and acquisitions in Sweden: frequently asked questions

What does a mergers and acquisitions lawyer in Sweden actually do?

They handle the legal work around buying or selling a company: confidentiality agreements, letters of intent, due diligence, the share or asset purchase agreement, disclosure schedules, completion mechanics and post-closing claims. In Sweden they also coordinate with auditors, tax advisers and the other professionals involved in the transaction, so that the legal side of the deal stays connected to the rest.

Do I have to instruct an ‘advokat’ for an acquisition in Sweden?

No. Swedish law does not reserve M&A work to members of the Swedish Bar Association. That said, only a member may call themselves an advokat, and presenting oneself as an advokat without membership is a criminal offence. Admission requires a law degree, at least three years of qualified legal practice and a passed bar exam, so the title says something about the adviser’s background.

How much does M&A advice cost in Sweden?

We do not publish fee figures, because they depend entirely on the deal. It is worth knowing that state legal aid (rättshjälp) is means-tested and aimed at natural persons whose income and assets do not exceed SEK 260,000 a year, so commercial transactions are agreed privately. Ask each matched lawyer for a written fee estimate and the assumptions behind it before you instruct them.

Are there Swedish legal deadlines I should watch during a transaction?

Deal timetables are contractual, but Swedish law sets limits around them. General debt claims prescribe after ten years and consumer claims after three, and appeals against administrative decisions must generally be lodged within three weeks under the Administrative Procedure Act (2017:900). Your lawyer will map the deadlines that apply to your specific transaction and timetable.

Can you help with a cross-border acquisition into Sweden?

Yes. We match buyers and sellers who need Swedish counsel, including foreign companies entering the Swedish market for the first time. Your matched lawyer can work alongside your home-country advisers so that the Swedish and foreign parts of the transaction are handled as one deal rather than two separate exercises.

Does inheritance tax affect the sale of a Swedish family business?

No inheritance tax arises. Sweden abolished inheritance tax (arvsskatt) and gift tax (gåvoskatt) with effect from the end of 2004, and the repealed act still applies only to liabilities that arose before 2005. Succession planning for a family company therefore turns on other questions, such as the reserved portion (laglott) of direct heirs.
