Why the legal groundwork decides how your Swedish company runs

Starting a business in Sweden raises questions that go well beyond choosing a name. You need to know which structure suits your plans, who is entitled to advise you, and which deadlines apply once an authority looks at your filings. Company formation in Sweden is a legal project, not only an administrative one: choices taken in the first weeks shape liability, ownership and tax for years. Matching with us is free. You describe your project — a limited company, a branch, a holding vehicle or a family business — and we introduce you to Swedish-qualified counsel who handles that specific work. You keep control of the choice and of the fees.

Sweden in practice

How company and commercial matters actually work in Sweden

Sweden is an open and comparatively predictable place to do business, but its legal framework has its own shape: a protected professional title, unusually tight appeal periods, and succession rules that reach into family-owned companies. The points below are drawn from official Swedish sources so you know what to expect before you instruct anyone.

Who may call themselves an advokat

Only a member of the Swedish Bar Association may use the title ‘advokat’, and presenting yourself as one without membership is a criminal offence. Admission requires a law degree, at least three years of qualified legal practice and a passed bar examination. When comparing providers for company matters, that protected title is a dependable first filter.

Authority decisions and the three-week window

If a Swedish authority issues a decision that affects your company — a refusal, a condition or a demand — the general appeal period under the Administrative Procedure Act (2017:900) is three weeks. That is markedly shorter than in many other European systems. Diary the date the decision reaches you, not the date it was issued.

Debt claims and how they lapse

Invoices, shareholder loans and supplier claims do not remain enforceable indefinitely. Under the Limitations Act (1981:130), consumer claims are generally time-barred after three years, while the general period for other claims is ten years. Interrupting the clock correctly matters greatly for a company that lends money or is owed it.

Legal aid and how costs are framed

State legal aid (rättshjälp) is generally available to natural persons whose income and assets do not exceed SEK 260,000 per year. Advice under the Legal Aid Act is charged at a fixed subsidised rate — SEK 2,032.50 per hour in 2026 — with a reduced fee at lower incomes. Because the scheme is framed around natural persons, ask early how your own matter would be funded.

Inheritance and gift tax in business succession

Sweden abolished its inheritance tax (arvsskatt) and gift tax (gåvoskatt) with effect from the end of 2004, so no tax is payable on an inheritance received in Sweden; the repealed act still applies only to liability arising before 2005. Founders handing a company to the next generation therefore focus on civil-law questions rather than inheritance tax.

The reserved portion (laglott) and family-owned companies

A direct heir — a child or grandchild — is always entitled to their reserved portion (laglott), equal to half of their statutory share of the estate, and a will cannot remove it. The heir must claim it within six months of being served with the will. Where shares sit inside a family structure, this limits what a will can achieve.

Key time limit — Commercial & Corporate Law

Debt claims (limitation / preskription) — 3 years for consumer claims; 10 years general. Consumer claims generally lapse after three years, other claims after ten.

All figures and time limits above are taken from official Swedish sources — the Swedish Bar Association, the Government Offices of Sweden, the Swedish Courts, the Swedish Tax Agency and Swedish statutes published on riksdagen.se — together with the CEPEJ country profile for Sweden; current as of 2026.

What usually goes wrong

Three problems founders meet before they have counsel

None of these are dramatic on their own. Together they are why company formation in Sweden is worth doing with someone who knows the framework.

01

You cannot tell which structure fits

A limited company, a branch or a holding arrangement each carry different rules on capital, liability and reporting. Without a clear view of the options, the first choice can be expensive to reverse later.

02

Authorities reply with deadlines attached

A question or a refusal from a Swedish authority arrives with a short appeal window. Missing it can close the route you were counting on, even where your underlying position is strong.

03

Fees are hard to compare

Quotes for Swedish company work are rarely presented on the same basis, and the subsidised rates that apply to personal legal aid do not map neatly onto commercial instructions.

How we help

Matching built for cross-border and Swedish founders

You describe the project once; we do the comparison and hand you a specialist who fits it.

Swedish-qualified counsel only

Every specialist we introduce for Swedish company matters works within the Swedish framework, and those using the protected title ‘advokat’ are members of the Swedish Bar Association. You know what you are getting before the first call.

Deadlines surfaced early

Swedish procedure is unforgiving: administrative decisions can generally be appealed for only three weeks, employment damages claims expire in four months and consumer debt claims lapse after three years. Your specialist flags the clock from the outset.

Costs discussed before you commit

You receive the proposed approach and the basis for fees before instructing anyone. Where a matter falls within state legal aid — a scheme framed for natural persons — you will be told; where it does not, you know what to budget.

One request, several perspectives

You describe the project once. We compare specialists on structure, ownership, employment and succession questions, so the advice fits the whole picture rather than a single filing with an authority.

Questions

Frequently asked questions about company formation in Sweden

How does your matching service support company formation in Sweden?

You tell us what you are building — a limited company, a branch, a holding vehicle or a family business — and we search our network for counsel experienced in Swedish company matters. We make the introduction; the specialist quotes and you decide. Matching is free, and there is no obligation to instruct anyone.

Is anyone in Sweden allowed to advise me on a company?

Only members of the Swedish Bar Association may use the protected title ‘advokat’, and using it without membership is a criminal offence. Admission requires a law degree, at least three years of qualified legal practice and a passed bar examination. When you choose counsel for Swedish company work, that title is a useful quality signal.

What happens if a Swedish authority rejects my registration?

Administrative decisions can generally be appealed within three weeks under the Administrative Procedure Act (2017:900). Because that period is short, the practical work happens immediately: reading the decision, identifying the ground of appeal and filing in time. Your counsel handles that sequence while you keep building the business.

Can I obtain state legal aid for a Swedish company?

State legal aid (rättshjälp) is generally available to natural persons whose income and assets do not exceed SEK 260,000 per year, and advice under the Legal Aid Act is charged at a fixed subsidised rate — SEK 2,032.50 per hour in 2026 — with a reduced fee at lower incomes. It is worth asking early how your matter would be funded.

Which Swedish deadlines should a founder know about?

Beyond the three-week appeal window for administrative decisions, claims for damages under employment law expire in four months, challenges to a dismissal within two weeks (or one month without appeal instructions), consumer debt claims after three years, and an estate inventory must be filed within three months of a death.

I am setting up a family business in Sweden. Is inheritance tax an issue?

No. Sweden abolished inheritance tax (arvsskatt) and gift tax (gåvoskatt) with effect from the end of 2004, so no tax is payable on an inheritance received in Sweden; the repealed act applies only to liability arising before 2005. Note, however, that a direct heir’s reserved portion (laglott) cannot be removed by a will and must be claimed within six months of service.
